Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Atkin Research ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.

Your continued use of the Service after any modification to these Terms constitutes your binding acceptance of such modifications.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of Service

Atkin Research is an educational platform that demonstrates the application of established financial analysis frameworks to publicly available financial, economic, and government data. The Service includes, among other features:

  • Company analysis reports applying quantitative frameworks including Piotroski F-Score, Beneish M-Score, Altman Z-Score, Buffett Quality Metrics, CAMELS bank analysis, and SaaS evaluation models to data from SEC EDGAR filings, market data providers, and other public sources;
  • a Macro Dashboard aggregating economic, market, fiscal, liquidity, and geopolitical indicators from government agencies and financial data providers into a real-time signal-tracking view;
  • a State Trends page presenting state-level economic, demographic, political, and infrastructure data;
  • a 13F Filings tracker summarizing institutional fund holdings disclosed on SEC Form 13F;
  • a Politician Trades tracker summarizing congressional stock trading activity disclosed under the STOCK Act and related public disclosure requirements; and
  • AI-assisted commentary and synthesis features (see Section 5) generated using third-party large language models.

The Service is designed to help users learn about and understand financial and economic analysis methodologies. It is a computational tool that processes publicly available data through mathematical models and, where noted, AI-generated commentary, for educational purposes. It does not involve human analysts, portfolio managers, registered investment advisors, or any licensed financial professionals in the generation of its outputs.

4. No Investment Advice — Critical Disclaimer

THE SERVICE IS PROVIDED SOLELY FOR EDUCATIONAL PURPOSES. IT DOES NOT PROVIDE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL FINANCIAL GUIDANCE. ATKIN RESEARCH IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, FINANCIAL PLANNER, OR FIDUCIARY UNDER ANY APPLICABLE LAW.

All analysis, scores, ratings, valuations, price targets, fair value estimates, buy/sell/hold signals, macro or economic signal readings, and any other outputs generated by the Service are educational demonstrations of financial and economic analysis frameworks applied to publicly available data. They are not personalized to your financial situation and should not be interpreted as actionable investment recommendations. Nothing on this platform constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any securities, financial instruments, or investment products.

The purpose of the Service is to help users learn how quantitative financial and economic frameworks work by seeing them applied to real-world data. You should always consult with a qualified, licensed financial advisor, registered investment advisor, or other appropriate professional before making any investment decisions. The Service is not a substitute for professional financial advice tailored to your individual circumstances, financial situation, and risk tolerance.

5. AI-Generated Content and Analysis

Certain features of the Service — including natural-language commentary, macro/economic synthesis, and any "Ask AI" or chat-style interaction — are generated using third-party large language models ("LLMs"), including models provided by Anthropic, OpenAI, Google, and xAI, selected by you or applied by default. THESE AI-GENERATED OUTPUTS ARE NOT REVIEWED, EDITED, FACT-CHECKED, OR VERIFIED BY A HUMAN BEFORE BEING DISPLAYED TO YOU.

Large language models can produce statements that are factually incorrect, internally inconsistent, out of date, or entirely fabricated ("hallucinations"), including with respect to specific figures, dates, the identity or status of public officials, and interpretations of the underlying data. AI-generated commentary is provided for educational and illustrative purposes only, is not independently verified by Atkin Research, and is subject to all of the disclaimers in Sections 4 and 6. You should independently verify any factual claim made in AI-generated content before relying on it in any way.

6. No Guarantees on Data Accuracy

ATKIN RESEARCH MAKES NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES WHATSOEVER REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, SUITABILITY, OR AVAILABILITY OF ANY DATA, ANALYSIS, SCORES, VALUATIONS, OR REPORTS GENERATED BY THE SERVICE. Without limiting the foregoing:

  • Financial data is sourced from SEC EDGAR filings, third-party market data APIs (including but not limited to Yahoo Finance), and other public sources which may contain errors, omissions, delays, or inaccuracies. Atkin Research has no control over the accuracy of these upstream data sources.
  • SEC EDGAR filings use XBRL tagging conventions that vary by company and filing period. Data extraction is automated and may misparse, misclassify, or omit data due to non-standard tagging, amended filings, or format variations.
  • Quantitative framework scores are calculated algorithmically based on simplified models of complex financial realities. These scores may not reflect the full context of a company's financial position, competitive dynamics, management quality, or future prospects.
  • Valuation estimates, fair value ranges, and price targets are model-driven outputs based on historical data and mathematical assumptions that may not hold in the future. Past performance is not indicative of future results.
  • Sector classifications, peer comparisons, and framework applicability assessments are automated using third-party data and heuristics, and may be inaccurate, outdated, or inappropriate for certain companies.
  • Macro, economic, and state-level data is sourced from government agencies and other third parties (see Section 15) and may be delayed, later revised, or subject to methodology changes by the originating agency after publication.
  • Political and government officeholder data (for example, governors, senators, and their party affiliation) is manually curated and periodically refreshed; it may not reflect officeholders who have left office, been replaced, died, or changed party affiliation since the data was last confirmed, particularly following an election.
  • Congressional trading data reflects public disclosures made under the STOCK Act and similar laws. The presence of a trade in this data is not, and should not be construed as, an accusation or implication of insider trading, market manipulation, or any other unlawful or unethical conduct by any individual.
  • Hand-curated reference data (including but not limited to moving-company rankings, university lists, and tax rate tables) reflects the most recently published information available to Atkin Research at the time it was compiled and may become outdated between updates.
  • Data may be stale, incomplete, delayed, or unavailable due to filing/publication schedules, API rate limits, service outages, or other factors beyond our control.
  • Reports may contain computational errors, rounding artifacts, or logical inconsistencies inherent to automated analysis systems.

You acknowledge that any reliance on data, analysis, or outputs from the Service is entirely at your own risk.

7. Assumption of Risk

You expressly acknowledge and agree that:

  • All investment decisions carry inherent risk, including the potential for complete loss of invested capital.
  • You are solely and exclusively responsible for your own investment decisions and their consequences.
  • You will not rely on the Service as the sole or primary basis for any investment, trading, or financial decision.
  • The Service produces educational outputs that may be materially incorrect, misleading, or inappropriate for your situation.
  • Market conditions can change rapidly and without warning, rendering any analysis immediately obsolete.
  • You assume all risk associated with your use of the Service and any actions taken based on its outputs.

8. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to promptly notify us of any unauthorized use of your account. Atkin Research shall not be liable for any loss or damage arising from your failure to protect your account credentials.

9. Fees, Subscriptions, and Cancellation

Certain features of the Service are offered on a free tier subject to usage limits (for example, a limited number of reports for anonymous or registered non-paying users), and/or as a paid subscription. Paid subscriptions, where offered, are billed in advance on a recurring basis (e.g., monthly) through our third-party payment processors, Stripe and/or PayPal, until cancelled. By subscribing, you authorize Atkin Research and its payment processors to charge your selected payment method for all applicable fees.

You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period, and Atkin Research does not provide prorated refunds for partial billing periods except where required by applicable law. Atkin Research reserves the right to change its fees or free-tier usage limits at any time; for existing paid subscribers, notice of a fee change will be provided through the Service or by email before the change takes effect for that subscriber's next billing cycle. Free-tier usage limits may be changed at any time without notice.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, including but not limited to violations of securities laws, insider trading regulations, or market manipulation prohibitions.
  • Redistribute, resell, sublicense, or commercially exploit generated reports or any Service outputs without prior written authorization.
  • Represent or imply that Atkin Research reports or AI-generated commentary constitute personalized investment advice, professional financial guidance, or regulated financial services when sharing with or presenting to third parties.
  • Attempt to reverse-engineer, decompile, scrape, crawl, data-mine, or overload the Service infrastructure, including through the use of AI agents or automated tools intended to reproduce, replicate, or rebuild the Service or its underlying data pipelines.
  • Use automated tools, bots, or scripts to access the Service except as expressly permitted.
  • Circumvent any access controls, usage limits, or security measures.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ATKIN RESEARCH EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • IMPLIED WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • WARRANTIES OF UNINTERRUPTED OR ERROR-FREE OPERATION

No advice or information, whether oral or written, obtained from Atkin Research or through the Service — including AI-generated commentary — shall create any warranty not expressly stated in these Terms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATKIN RESEARCH, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, "ATKIN PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

  • Any direct, indirect, incidental, special, consequential, punitive, or exemplary damages;
  • Loss of profits, revenue, data, goodwill, or anticipated savings;
  • Cost of procurement of substitute services;
  • Any damages arising from investment decisions, trades, or financial actions taken or not taken based on information provided by the Service;

regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if the Atkin Parties have been advised of the possibility of such damages.

IN ANY EVENT, THE TOTAL AGGREGATE LIABILITY OF THE ATKIN PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO ATKIN RESEARCH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of the Atkin Parties shall be limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Atkin Parties from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of or reliance on the Service or its outputs, including AI-generated commentary;
  • Your investment decisions or financial actions;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or third-party rights;
  • Any content or data you submit to or through the Service;
  • Your distribution, sharing, or misrepresentation of Service outputs to third parties.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between you and Atkin Research (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted by a single arbitrator in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND ATKIN RESEARCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of such court.

Opt-Out: You may opt out of this arbitration provision by sending written notice to legal@atkin.tech within 30 days of your first use of the Service. If you opt out, Disputes will be resolved in the state or federal courts located in the State of Texas, and you consent to personal jurisdiction in such courts.

15. Third-Party Services and Data Providers

The Service relies on numerous third-party data sources and infrastructure providers, including but not limited to: the SEC EDGAR system; Yahoo Finance and other market data providers; the Federal Reserve Economic Data (FRED) system operated by the Federal Reserve Bank of St. Louis; the U.S. Census Bureau; the U.S. Bureau of Economic Analysis; the U.S. Energy Information Administration; the USDA National Agricultural Statistics Service; the U.S. Department of the Treasury; the Federal Reserve Bank of Philadelphia; the International Monetary Fund's PortWatch initiative; Forex Factory; Nasdaq; Google and other news and search providers; and third-party large language model providers including Anthropic, OpenAI, Google, and xAI. The Service also relies on Firebase (Google) for authentication and data storage, and on Stripe and/or PayPal for payment processing, each governed by its own separate terms of service and privacy policy.

Atkin Research is not responsible for the availability, accuracy, security, or reliability of these third-party services. Interruptions, errors, methodology changes, or discontinuation of any third-party service or data feed may affect the Service without notice, and Atkin Research shall have no liability for any loss or damage resulting from third-party service failures, data inaccuracies, or unavailability.

16. Service Availability and Force Majeure

Atkin Research does not guarantee uninterrupted, timely, or error-free access to the Service. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet outages, power failures, cyberattacks, pandemics, or third-party service disruptions ("Force Majeure Events"). Atkin Research shall not be liable for any failure or delay in performance resulting from Force Majeure Events.

17. Termination

Atkin Research reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service immediately ceases. Sections 4, 5, 6, 7, 9, 11, 12, 13, 14, and 18 shall survive any termination of these Terms.

18. Intellectual Property

The Service, including its analysis frameworks, algorithms, report templates, software, and all associated intellectual property, is the exclusive property of Atkin Research. Generated reports and AI-generated commentary are licensed to you for personal, non-commercial use only. This license is non-transferable, non-exclusive, and revocable.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Atkin Research regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. To the extent litigation is permitted under Section 14, the exclusive venue shall be the state or federal courts located in Texas.
